Supply of Service

This Service Provision Agreement ("Agreement") is formed between Resolution Route ("Service Provider") and the Client ("Client"), together known as the "Parties". This document regulates the delivery of specified services by the Service Provider to the Client, detailing the obligations and rights of both Parties.

Outlined Services

The Service Provider is committed to providing the following services:

A. Customer Support:

Guiding exceptional customer support interactions through care, focus, and attention to detail.

B. Campaign Planning:

Helping clients get their marketing off to a strong start through the meticulous planning of campaigns.

C. Analytics:

Offering access to in-depth analytics to drive business growth, guide decision-making process, and optimise service delivery.

Service Level Agreement (SLA)

The particulars of service levels, including response times, uptime, and performance metrics, will be detailed in a separate Service Level Agreement document. This will be agreed upon by both Parties and incorporated into this Agreement.

Duration of Agreement

This Agreement initiates on the agreed start date and will remain in effect until terminated by either Party in accordance with the termination conditions herein. Following the initial period, the Agreement will automatically renew for subsequent terms unless terminated by either Party with prior written notice.

Payment Terms

Payment terms, including fees and schedules, will be outlined in a separate financial agreement or specified within the SLA. Failure to meet payment deadlines may result in a suspension or cessation of provided services.

Confidentiality Obligations

Both Parties are committed to protecting any confidential information obtained through their service interactions. This covers all business-related secrets, operational details, and other sensitive data.

Intellectual Property Rights

Intellectual property crafted, employed, or otherwise utilised by the Service Provider during the service period will remain the property of the Service Provider unless a separate contractual arrangement specifies otherwise.

Liability Limitations

The Service Provider's liability for claims related to this Agreement is limited to the fees the Client has paid under this Agreement, conforming with applicable laws.

Agreement Termination

The Agreement may be terminated by either Party if there is a failure to correct a substantial breach notified by the other Party within the agreed period.

Legal Governance and Dispute Resolution

This Agreement is governed by the laws of Hong Kong, and any disputes will be exclusively resolved in the courts of the Hong Kong Special Administrative Region.

Comprehensive Agreement

This Agreement, including any associated terms and conditions and privacy policies, constitutes the complete Agreement between the Parties, overriding any previous discussions or agreements, whether oral or written.
